PagesealENDE

Terms of Service

Pageseal – a service of Orbita Media GmbH. Version 2026-11-08, in force since 8 November 2026.

This English text is a translation for convenience. The German version is binding.

1. Scope

  1. These terms apply to all contracts between Orbita Media GmbH, Ericusspitze 4, 20457 Hamburg, Germany, registered at Amtsgericht Hamburg under HRB 161613, VAT ID DE328578764, represented by its managing directors Noah Malik and Stefan Schott, email support@pageseal.app ("we"), and the customer about Pageseal: through Pageseal accounts and API keys, in particular for WooCommerce, Medusa, Lemon Squeezy, Sellfy, Payhip and Gumroad, and through the Shopify App Store with the deviations in section 13.
  2. Pageseal is only for businesses within the meaning of section 14 of the German Civil Code (BGB). Consumers within the meaning of section 13 BGB cannot open an account or install the app. By signing up or installing, the customer confirms that it acts in the course of its trade, business or profession.
  3. Deviating, conflicting or additional general terms of the customer only become part of the contract if we have expressly agreed to them in text form. This also applies if we perform without reservation while aware of deviating terms.

2. Service

  1. Pageseal checks uploaded files, creates a personal copy with a visible note and an invisible code for each paid order the customer's store reports to us, delivers it by download link, and helps to match a copy shared without permission to its order. The scope per plan follows from the plan overview.
  2. Personalisation and code make unauthorised sharing harder and traceable; they do not prevent it. A code can be removed or damaged. The leak search only recognises copies with a readable code; a match is an indication, not proof. The check of files is technical; it does not promise faultless display on every device and is not a legal review. Templates for notices to services and for letters to buyers are aids and not legal advice; the service concerned decides on a notice. We owe no particular result against unauthorised sharing.
  3. Connections to sales platforms depend on their interfaces. The limits per provider are set out in the guide in the account. A provider's test events create no copy in a store that is not in test mode.
  4. We provide the service with the care of a diligent operator. No particular availability rate is agreed. Where possible, we carry out maintenance at times of low traffic.
  5. Descriptions in guides, on the website and in the plan overview are statements of service, not guarantees. We only assume a guarantee if we expressly call it one.

3. Account and conclusion of contract

  1. The contract for the account is concluded in these steps: the customer enters its email address on the sign-up page, accepts these terms and the data processing agreement, and submits the form (offer). We send a link to that address, which confirms receipt of the sign-up. By redeeming the link we accept the offer and the account comes into being.
  2. The contract for a plan is concluded when the customer chooses a plan in the account and completes the order on the payment page of our payment provider Stripe.
  3. The customer can correct input errors in the form and on the payment page until submitting. No contract arises without a redeemed link, so the customer can simply sign up again after entering a wrong address.
  4. These terms can be viewed and saved at any time at pageseal.app/terms. We store which version the customer accepted and when, and send that version on request. The contract languages are German and English; the German version is binding. We have not submitted to any code of conduct.
  5. The customer keeps its mailbox, API keys and webhook addresses secret and tells us of any misuse without undue delay. Acts through these accesses are attributed to the customer to the extent it is responsible for them.

4. Plans, prices and payment

  1. The prices shown in the plan overview at the time of the order apply. They are net, plus statutory VAT where applicable.
  2. Billing runs through Stripe: the monthly base fee of the plan in advance, copies above the amount included in the plan afterwards per copy. The customer receives invoices electronically. Where the plan has a trial period, the subscription continues for a fee afterwards unless the customer cancels before.
  3. The free copies of the Free plan are granted once per confirmed email address, not per store, and not again after an account is deleted.
  4. If the free copies are used up and there is no subscription, or collection has finally failed, Pageseal delivers no further copies; we owe no delivery for this period. Paid orders then wait; we inform the customer and its buyers. As soon as a subscription exists, the waiting copies go out. The customer's duties towards its buyers remain unaffected.
  5. We may adjust the fees at our reasonable discretion (section 315 BGB) to offset changes in our costs, in particular personnel, hosting, sending, licence, interface or other procurement costs and statutory charges. Cost reductions are to be taken into account to the same extent. An increase is permitted at the earliest twelve months after conclusion of the contract and thereafter at the earliest twelve months after the last adjustment.
  6. We announce an adjustment at least six weeks before it takes effect in text form, stating the previous and the new fee and the date of the change, and point out the right to terminate. The customer may terminate the contract until the adjustment takes effect, with effect from that date. If it does not terminate, the adjustment is deemed accepted; we point this out separately in the notice. Increases of more than 10 percent within twelve months require the customer's express consent.
  7. The customer may only set off undisputed or finally adjudicated counterclaims. Section 320 BGB remains unaffected.

5. Term, termination and deletion

  1. The contract runs for an indefinite period. The customer can cancel a subscription at any time through billing in the account, effective at the end of the current billing period. We may terminate with one month's notice to the end of a month. Termination requires text form unless declared through the account.
  2. If the customer deletes a store or its account, the related subscription ends at once. Usage fees incurred up to then are billed; the base fee paid is not refunded.
  3. Deleted stores and accounts stay in the trash for 30 days and can be restored during that time; keys, webhooks and download links are blocked during that time. After that we delete the content, unless statutory retention duties stand in the way.
  4. On request in text form, we provide the customer with its content free of charge in a common, machine-readable format until these 30 days have passed.
  5. The right to terminate for good cause (section 314 BGB) remains unaffected. Good cause exists in particular if the customer seriously or repeatedly breaches these terms, statutory provisions or rights of third parties.

6. Customer's duties

  1. The customer may only distribute through Pageseal content for which it holds the necessary rights and which does not violate laws or rights of third parties. If it breaches this duty or a duty under paragraph 2 or 5, it indemnifies us against third-party claims, including reasonable costs of legal defence, unless it is not responsible for the breach. We inform it of such claims without undue delay in text form. If it takes over the indemnity, we do not acknowledge the claims or settle them without its consent.
  2. Towards its buyers the customer remains seller and controller. In particular, it informs them about personalisation and code (suggested text in the privacy policy) and is responsible for delivery, withdrawal, refunds and taxes.
  3. The customer always keeps its own, up-to-date backup of its original files. Pageseal is not an archive; we owe no backup of its original files. The technical and organisational measures in the data processing agreement remain unaffected.
  4. The customer does not use the service in a way that endangers its security or operation and does not circumvent plan limits, including through several accounts.
  5. The customer decides itself whether to send a notice to a service or a letter to a buyer; Pageseal sends neither by itself. Before sending, it checks the match, the content and its entitlement. It is responsible for the content and the consequences.

7. Rights in content

The rights in its content remain with the customer. For the term of the contract it grants us the non-exclusive right to store, check and personalise the content and to deliver it to its buyers, as far as necessary for the service. Copies already delivered to buyers are not affected by the end of the contract. We use the content for no other purpose.

8. Defects

  1. The provisions of German tenancy law (sections 535 et seq. BGB) apply accordingly to the provision of the service, unless these terms or mandatory law provide otherwise. To free provision under section 9(4), the provisions on gratuitous loan (sections 598 et seq. BGB) apply accordingly instead, unless these terms provide otherwise. Strict liability of the lessor for initial defects under section 536a(1) alt. 1 BGB is excluded; section 9 remains unaffected.
  2. The customer reports recognisable defects without undue delay in text form and describes them as comprehensibly as possible. There is no defect where a limitation results from the customer using the service contrary to the contractual requirements, uploading unsuitable files, or third-party services being unavailable, and we are not responsible for this.
  3. Claims for defects become time-barred twelve months after the statutory start of limitation. This does not apply in cases of intent, fraudulent concealment, gross negligence, injury to life, body or health, assumption of a guarantee or mandatory statutory liability.

9. Liability

  1. We are liable under statutory provisions for damages and expenses in cases of culpable injury to life, body or health, intent and gross negligence, fraudulent concealment of a defect, assumption of a guarantee and under mandatory statutory liability, in particular the German Product Liability Act.
  2. In case of slightly negligent breach of essential contractual duties, we are only liable for foreseeable damage typical for the contract. Essential contractual duties are those whose fulfilment makes proper performance of the contract possible in the first place and on which the customer regularly relies and may rely.
  3. On paid plans, liability under paragraph 2 is limited in amount, per case of damage, to the net fees incurred for the twelve months before the event causing the damage. If the paid plan has been running for less than twelve months, the base fee of the plan for twelve months applies instead. Several losses from the same cause count as one case of damage. Before any damage occurs, the customer may agree with us in text form on a higher maximum amount in return for an additional fee reflecting the risk.
  4. As long as the customer owes no fee for the service (Free plan, trial period), we provide it free of charge. During this time, in line with sections 521 and 599 BGB, we are only liable under paragraph 1; paragraph 2 does not apply.
  5. For loss of data the customer can back up itself, in particular its original files, we are liable under paragraph 2 only up to the amount that would have been necessary to restore the data had the customer backed it up properly and regularly.
  6. Otherwise, liability for damages and expenses is excluded, whatever the legal basis.
  7. We are not liable for the availability, functioning or acceptance of sales platforms, interfaces, payment providers, buyers' mail services or other third parties, unless we are responsible for the disruption. Sales platforms, payment providers and mail services the customer uses for its own sales are not our vicarious agents.
  8. We are not liable for infringements, platform violations, unjustified or incorrect notices and economic disadvantages resulting from content uploaded, approved or sent by the customer, unless we are responsible for them.
  9. This contract has no protective effect in favour of third parties, in particular not in favour of the customer's buyers.
  10. These limitations also benefit our legal representatives, employees and vicarious agents.
  11. Damage claims against us, including those based on defects, become time-barred twelve months after the statutory start of limitation. This does not apply in the cases of paragraph 1.

10. Suspension

We may temporarily suspend access in whole or in part if there are concrete indications of unlawful use, a threat to the security or integrity of the service, an infringement of third-party rights or misuse of the account. We limit the suspension to the necessary extent and duration. We inform the customer without undue delay in text form of the reason and scope and, unless this defeats the purpose of the measure, give it the opportunity to comment beforehand.

11. Data protection

The privacy policy applies to the customer's data. We process buyer data as a processor under the data processing agreement, which the customer accepts when signing up and which applies from installation for a Shopify app. The privacy policy says which data the app reads from the store, what it uses it for and to whom it passes it on.

12. Changes to these terms

  1. We may change these terms with effect for existing contracts if there is a valid reason. A valid reason exists in particular in case of a change in the law, a supreme court or official decision relevant to the contract, an unforeseeable change in the technical or economic conditions, the introduction of new or adaptation of existing functions, or to close a gap in the contract that arose after its conclusion.
  2. The change must not affect the main duties or the balance between service and fee and must not unreasonably disadvantage the customer. Fee adjustments are governed exclusively by section 4.
  3. We announce the intended change at least six weeks before it takes effect in text form. The notice contains the changed provisions in a highlighted comparison, the date of effect and a reference to the right to object, the period for objecting and the meaning of silence under paragraph 4.
  4. The customer may object to the change in text form until it takes effect. If it does not object, the change is deemed approved; we point this out separately in the notice. If it objects, the contract continues on the previous terms; in that case we may terminate the contract with one month's notice to the end of a month. We refund fees paid in advance pro rata.

13. Use through the Shopify App Store

  1. If the customer uses Pageseal as an app through the Shopify App Store, these terms apply with the following deviations; this section takes precedence over the other provisions. Section 3(1) to (3), section 4(2), (3), (5) and (6) and section 5(1) sentence 2 and (2) to (4) do not apply.
  2. The contract for use of the app is concluded when the customer installs the app and confirms the access rights shown by Shopify. The contract for a plan is concluded when the customer chooses a plan in the app and approves the charges on Shopify's confirmation page. The customer keeps access to its Shopify account secret; section 3(5) sentence 2 applies accordingly. We store the record of which version the customer accepted and when until deletion under paragraph 7.
  3. Billing runs exclusively through Shopify; the charges appear on the customer's Shopify bill. The base fee of the plan falls due every 30 days in advance, copies above the amount included in the plan per copy as a usage fee, up to the spending cap approved at Shopify. Where the plan has a trial period, the base fee starts when it ends, unless the customer uninstalls the app before. We only change prices with an approval by the customer at Shopify. Shopify test orders are delivered and not charged.
  4. The free copies are granted once per shop domain, and not again after uninstalling or reinstalling. Section 4(4) applies accordingly if the free copies are used up and no plan is approved, and if the spending cap is reached, until the customer raises it, changes the plan or a new billing period starts.
  5. The Free plan is a paid plan within the meaning of section 9(3) as soon as the customer owes usage fees; the net fees actually incurred are then decisive, and section 9(3) sentence 2 does not apply. Section 9(4) only applies as long as no fee is owed.
  6. The customer can terminate at any time by uninstalling the app. The contract and the subscription then end at once, and no further billing periods arise. Charges already incurred remain due; we do not refund base fees paid.
  7. From uninstallation, the buyers' download links no longer work. About 48 hours later, Shopify asks us to delete the data. We then finally delete all data of the store, in particular files, copies, buyer data and the record of acceptance of these terms, unless statutory retention duties stand in the way. There is no trash and no handover of content after that. Only a hash of the shop domain with the number of free copies used remains. The customer backs up its content itself before uninstalling and informs its buyers.
  8. We alone are responsible for the app. Shopify is not a party to this contract, is not liable for any fault in the app or any harm that may result from its installation or use and, except where expressly stated by Shopify, cannot provide assistance with the installation or use of the app. In relation to Shopify, we alone are responsible for any liability which may arise from the customer's access to or use of the app, including the development, use, marketing or distribution of or access to the app, its support, and our access to, use, distribution or storage of the customer's data. The extent of our liability towards the customer is governed by section 9.
  9. Shopify and its services are not our vicarious agents. If Shopify blocks or removes the app or changes its services, we owe no service depending on them for that time, unless we are responsible for this. The relationship between the customer and Shopify is governed by Shopify's terms.

14. Final provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods, also for customers outside Germany.
  2. If the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Hamburg. The place of performance is Hamburg. We may also sue the customer at its general place of jurisdiction if it lies in a member state of the European Union or a state party to the Lugano Convention.
  3. The customer may only transfer rights and duties under this contract to third parties with our prior consent in text form. Consent may not be refused without objective reason. Section 354a of the German Commercial Code (HGB) remains unaffected.
  4. Changes and additions to the contract require text form. This also applies to waiving this requirement. Individual agreements always take precedence; section 305b BGB remains unaffected.
  5. If individual provisions are or become invalid in whole or in part, the validity of the other provisions remains unaffected. The statutory provisions replace the invalid provision.
